By uploading Content via the Vloggi platform to a Project Owner, you are accepting the terms set out below and hereby irrevocably assign to the Project Owner absolutely and with full title guarantee all intellectual property rights, title and interest in and to the Content (regardless of the format such Content is submitted by you).
Furthermore, you hereby confirm and agree that from the date you click the Consent Form that you accept these terms and conditions and those further specified below, the Project Owner shall be exclusively entitled to exploit the Content in any manner or context, throughout the world, on any and all media whether now known or hereafter invented and in perpetuity.
You also confirm that any third party or person who is featured in the Content has agreed to such terms and conditions
Before submitting content, please note the following:
1. Ownership of content
When you upload content through this platform, you assign ownership of that content to the organisation running the project (the Project Owner). They may use, edit, publish or broadcast it anywhere in the world and in any media.
2. Vloggi’s role
Vloggi provides the technology used to collect and manage submissions. Vloggi does not own your content.
3. Your responsibility
You confirm that the content is yours to submit and that anyone appearing in it has agreed to be included.
4. Prizes or incentives
Some projects may offer prizes or payments. These are offered and managed by the Project Owner, not Vloggi.
5. Privacy
If you provide personal information, it is collected on behalf of the Project Owner, who is responsible for how it is used.
6. Full terms apply

This Agreement was last modified on 11 March 2026 (the Effective Date).
The following shall constitute an Agreement effective from the date (“Acceptance Date”) on which you submitted the Content (as defined below) and thereby accepted the Terms of this Agreement.
These terms and conditions govern the contractual relationship between Vloggi Pty Ltd of Sydney, NSW, Australia, its successors, affiliates, licensees (“Vloggi” , “Licensee” “us” or “we”)
and
you (“Contributor” or “you”) in relation to the submission of Content and the assignment of rights described in this Agreement.
1.1 Except to the extent expressly provided otherwise, in this Agreement:
2.1 Submission and assignment of Content
You are uploading and/or submitting certain audiovisual, photographic, audio and textual materials to a Project Owner (the “Content”) via the Vloggi Platform.
By uploading or submitting the Content through the Platform, and by clicking the consent button in the Vloggi uploader or application, you accept the terms of this Content Assignment Agreement and irrevocably assign to the Project Owner, absolutely and with full title guarantee, all Intellectual Property Rights and all other rights, title and interest in and to the Content (including any performances, likenesses, voices, images, sounds, music, comments or other elements contained within the Content), regardless of the format in which such Content is submitted.
This assignment includes, without limitation, the right for the Project Owner to reproduce, edit, adapt, modify, combine with other material, distribute, publish, broadcast, communicate to the public, and otherwise exploit the Content in whole or in part, in any manner or context, in all media and formats now known or hereafter devised, throughout the world and in perpetuity.
You acknowledge that Vloggi acts solely as the provider of the Platform used to collect, host and process the Content on behalf of the Project Owner and does not acquire ownership of the Content.
The assignment of rights takes effect from the Acceptance Date and is subject to these terms and any additional project-specific terms specified by the Project Owner.
Furthermore, you confirm that your submission of Content constitutes acceptance of these Terms and any applicable User Terms governing use of the Platform.
2.2 Use of Content
The Project Owner shall be entitled to use, reproduce, edit, adapt, publish, distribute, broadcast, communicate to the public and otherwise exploit the Content, in whole or in part, in any manner or context, throughout the world, on any and all media and formats whether now known or hereafter devised, and in perpetuity.
You acknowledge that Vloggi’s role is limited to providing the Platform used to collect, host, process and transmit the Content on behalf of the Project Owner, and that Vloggi does not acquire any ownership rights in the Content.
2.3 Contributor warranties and consent
You confirm and warrant that:
(a) you are the creator of the Content or otherwise have the full right and authority to submit the Content and assign the rights set out in this Agreement;
(b) the Content is your own original work and does not infringe the intellectual property rights, privacy rights or other rights of any third party;
(c) you are at least 18 years of age, or if you are under 18 years of age the Content has been submitted with the knowledge and consent of your parent or legal guardian, which may be obtained through a consent form, platform checkbox, or other confirmation method specified by the Project Owner;
(d) where any other person appears in, performs in, or is identifiable in the Content, you have obtained their permission (and where applicable the permission of a parent or guardian) for the Content to be used in accordance with this Agreement.
2.4 Scope of assignment
The assignment of rights described in Clause 2.1 includes, without limitation, all rights in and to the Content and any elements contained within it, including titles, images, performances, voices, likenesses, characters, names, trademarks, logos, graphics, animation, music, sound recordings, sound effects and any other materials embodied in the Content.
The Project Owner shall have the exclusive right to exercise, enforce and protect such rights, including the right to bring, defend, settle or otherwise participate in any proceedings or claims relating to the ownership or infringement of the Content.
The Project Owner may exploit the Content, and authorise third parties to exploit the Content, in any manner and for any purpose, including commercial, promotional or marketing uses, in all media and formats whether now known or hereafter devised, throughout the world and in perpetuity.
2.5 Moral rights waiver
To the extent permitted by law, you consent to any act or omission by the Project Owner or its licensees that would otherwise infringe your moral rights in the Content, including the right to edit, adapt or combine the Content with other material without attribution.
2.6 Appearance and likeness consent
You consent to the use by the Project Owner and its licensees of your name, likeness, image, voice and biographical information as incorporated in the Content in connection with the production, promotion, distribution and exploitation of the Content and any related materials in all media and formats throughout the world in perpetuity.
You acknowledge that such use may include editing, modification or combination of the Content with other materials.
2.7 Use of Content for analytics and machine learning
The Project Owner may use the Content, and any metadata associated with the Content, for the purposes of analytics, research, machine learning, computer vision model training or other automated processing systems.
Vloggi may process Content and associated metadata solely for the purpose of providing analytics, automation or artificial intelligence services to the Project Owner within the Platform.
Vloggi will not use Content from a Project to train publicly available artificial intelligence models without the permission of the relevant Project Owner.
The Project Owner may create datasets, derivative data products or machine learning models derived from the Content.
The Project Owner may create, license or commercialise datasets, analytics outputs or machine learning models derived from the Content.
3.1 Contributor attribution
Where reasonably practicable, the Project Owner may identify the Contributor as the original creator of the Content using the name provided by the Contributor at the time of submission.
3.2 No obligation to credit
The Contributor acknowledges that the Project Owner is under no obligation to credit the Contributor in connection with any use of the Content.
3.3 Accuracy of contributor information
The Contributor agrees to provide accurate identifying information when submitting Content, including a name that may be used for attribution if credit is given.
3.4 Ownership of Content
The Contributor acknowledges that all Intellectual Property Rights in the Content are assigned to the Project Owner in accordance with Section 2 of this Agreement.
3.5 Project-specific rules
Project Owners may publish additional project rules, requirements or content usage terms within the Project Brief or associated Terms and Conditions. Such project-specific terms are the responsibility of the Project Owner and may supplement this Agreement.
3.6 Submission records
Vloggi will maintain records of Contributor submissions and the acceptance of this Content Assignment Agreement, including the date and time of acceptance, the Contributor’s submitted identifying information and associated technical information such as IP address and device metadata where available.
Vloggi may retain these records for evidentiary, compliance and audit purposes and may provide relevant records to the Project Owner where reasonably required to verify Contributor consent or rights to the Content.
Such records may be relied upon as evidence of acceptance of this Agreement.
3.7 Contest incentives and payments
Project Owners may offer prizes, incentives, payments or other benefits in connection with a Project. Any such incentives are offered solely by the Project Owner and are the sole responsibility of the Project Owner to administer and fulfil.
Vloggi is not responsible for the administration or fulfilment of any prizes, payments or incentives offered by a Project Owner.
The assignment of rights set out in this Agreement is granted in consideration of the opportunity to participate in the Project and does not depend on the payment or receipt of any prize, payment or incentive.
Failure by a Project Owner to deliver any prize or payment shall not affect the validity of the assignment of rights granted under this Agreement.
4.1 This Agreement shall come into force upon the Acceptance Date.
4.2 This Agreement shall continue in force indefinitely.
5.1 Contributor responsibility
You agree to indemnify and hold harmless the Project Owner and Vloggi, and their respective officers, employees, affiliates, licensees and permitted assigns, from and against any claims, damages, losses, costs or expenses (including reasonable legal costs) arising out of or relating to:
(a) any breach by you of the representations, warranties or obligations set out in this Agreement; or
(b) any claim that the Content infringes the intellectual property rights, privacy rights, publicity rights or other legal rights of any third party, including claims relating to defamation, libel, slander or false light.
5.2 Claims arising from submitted Content
You acknowledge that the Project Owner and Vloggi rely on the representations you make in this Agreement when accepting and processing the Content. If any claim arises in connection with Content you submitted, you agree to provide reasonable assistance, at your own expense where required, to enable Vloggi or the Project Owner to respond to or defend such claim.
5.3 Permissions for persons appearing in Content
You confirm that you have obtained all necessary permissions from any persons appearing in the Content to grant the rights described in this Agreement.
6.1 Role of the parties
Where a Project Owner collects personal information from Contributors through the Platform, the Project Owner acts as the data controller in relation to that information and Vloggi acts solely as a processor or service provider providing the Platform infrastructure.
6.2 Responsibility for contributor data
Any personal information submitted by Contributors in connection with a Project (including names, contact details, submissions, or other identifying information) is collected on behalf of the Project Owner. The Project Owner is responsible for determining the purposes for which such information is collected and how it is used.
6.3 Privacy requests
Requests relating to personal information, including requests for access, correction or deletion of personal data (including rights sometimes referred to as the “right to be forgotten”), must be directed to the relevant Project Owner who is responsible for responding to such requests.
6.4 Platform assistance
Vloggi may provide reasonable technical assistance to Project Owners to enable them to comply with applicable privacy or data protection laws, including the deletion or modification of Contributor data within the Platform where required.
6.5 Applicable laws
Project Owners are responsible for ensuring that their use of Contributor data complies with applicable privacy and data protection laws, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable data protection laws in the jurisdictions where Contributors are located.
6.6 Client-defined datasets and structured data fields
The Platform may allow Project Owners to define structured data fields, lookup tables, surveys or other predefined datasets for completion by Contributors as part of a Project (for example, location identifiers, store IDs, demographic questions or other project-specific information).
Such datasets and structured data fields are created and controlled solely by the Project Owner. Vloggi does not determine the content, purpose or structure of such data collection.
The Project Owner is responsible for ensuring that any information collected through such fields complies with applicable laws and does not require the collection of personal or sensitive data unless the Project Owner has appropriate legal authority and consent to do so
7.1 Contest participation
Where a Contributor submits Content in response to a contest, promotion or incentive offered through a Project, the relationship governing such contest or promotion is solely between the Contributor and the Project Owner.
7.2 Responsibility for prizes and incentives
Any prizes, payments, incentives or rewards offered in connection with a Project are offered solely by the Project Owner. The Project Owner is responsible for administering the contest or promotion and fulfilling any prizes, payments or incentives offered.
Vloggi is not responsible for the administration or fulfilment of any prizes, payments or incentives offered by a Project Owner.
7.3 Compliance with applicable laws
The Project Owner is responsible for ensuring that any contest, promotion or incentive offered through a Project complies with all applicable laws and regulations in the jurisdictions where the Project is made available.
7.4 No guarantee of selection or reward
Submission of Content to a Project does not guarantee that the Content will be selected, published, broadcast or otherwise used by the Project Owner, nor that the Contributor will receive any prize, payment or incentive.
7.5 Prize disputes
If a Contributor believes they are entitled to a prize or incentive offered by a Project Owner, the Contributor must address the matter directly with the Project Owner. Vloggi shall not be liable for any dispute relating to prizes, payments or incentives offered by a Project Owner.
7.6 Territorial governance
Project Owners may impose additional eligibility requirements including geographic restrictions, age restrictions or submission limits.
8.1 Confidentiality
You agree not to disclose any confidential information relating to a Project, the Project Brief or any materials provided by the Project Owner in connection with a Project, except with the prior written consent of the Project Owner.
This clause does not prevent you from discussing or sharing your own participation in a Project unless the Project Owner has expressly stated that the Project is confidential.
8.2 Governing law
This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia.
8.3 Jurisdiction
The parties agree that the courts of New South Wales, Australia shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
9.1 Accuracy of submissions
The Contributor warrants that:
(a) any Content submitted, including video, photographs, audio recordings or accompanying text, is a genuine depiction or recording of the scene or subject described;
(b) any comments or descriptions provided in response to a Project Brief represent the Contributor’s honest account of the scene or subject depicted;
(c) any location data or metadata provided in connection with the Content, where requested by the Project Owner, is accurate to the best of the Contributor’s knowledge.
(d) the Content has been captured by the Contributor or with the Contributor’s permission and has not been materially generated or fabricated using artificial intelligence or synthetic media tools without clear disclosure in the submission.
9.2 Acceptable content
Contributors must not submit captions, comments or other materials that:
contain abusive, defamatory, threatening or offensive language; or
target or harass any individual or group.
Vloggi or the Project Owner may remove such material from the Platform.
9.3 Moderation of Projects
The Project Owner is responsible for moderating Content submitted to its Projects and determining whether Content complies with the requirements of the Project Brief.
9.4 Removal of content
Vloggi may remove or disable access to Content that:
breaches these Content rules;
infringes the rights of third parties; or
is identified by a Project Owner as requiring removal.
Where reasonably practicable, Vloggi will act within a reasonable timeframe after receiving notice from the Project Owner.
9.5 Platform moderation rights
Vloggi reserves the right to edit, remove or restrict access to captions, comments or other materials submitted through the Platform where necessary to maintain the integrity, security or lawful operation of the Platform.
9.6 Legal and regulatory requests
Vloggi may disclose or provide access to Content, submission records or associated information where required to comply with applicable law, court orders, subpoenas or lawful requests from government authorities or law enforcement agencies.
Vloggi will only disclose such information where required by applicable law or lawful authority.
9.7 Changes to content policies
These Content rules may be updated from time to time to reflect operational, legal or regulatory requirements.
9.8 Synthetic or AI-generated content
Contributors must not submit Content that has been materially generated, manipulated or altered using artificial intelligence, synthetic media or similar automated tools in a way that misrepresents the authenticity of the scene, event or subject depicted.
Where Content includes elements generated or materially altered using artificial intelligence or synthetic media tools, the Contributor must clearly disclose this in the submission where such disclosure is requested by the Project Owner.
The Project Owner and Vloggi reserve the right to remove, flag or investigate any Content reasonably suspected of being manipulated, fabricated or misrepresented.
10.1 Acceptance of terms
By uploading or submitting Content through the Platform and selecting the consent or acceptance option presented during the submission process, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
10.2 Binding agreement
Your submission of Content and acceptance of these Terms constitutes a legally binding agreement between you, the Project Owner and Vloggi from the Acceptance Date.
11.1 Non-excludable liability
Nothing in this Agreement will:
(a) limit or exclude any liability for death or personal injury resulting from negligence;
(b) limit or exclude any liability for fraud or fraudulent misrepresentation;
(c) limit any liability in any way that is not permitted under applicable law; or
(d) exclude any liability that cannot be excluded under applicable law.
11.2 Platform role
To the extent permitted by law, Vloggi shall not be liable for:
(a) the use, publication or exploitation of Content by a Project Owner or any third party authorised by the Project Owner;
(b) any contest, promotion, prize or incentive offered by a Project Owner; or
(c) any decisions by a Project Owner relating to the selection, publication, moderation or removal of Content.
11.3 Platform availability
Vloggi does not guarantee uninterrupted or error-free operation of the Platform and shall not be liable for temporary interruptions, technical failures or delays affecting the submission, storage or processing of Content.
11.4 Platform ownership
Nothing in this Agreement transfers to any Contributor or Project Owner any ownership rights in the Vloggi Platform, including its software, systems, analytics tools, infrastructure or underlying technology.
All rights, title and interest in the Platform remain the exclusive property of Vloggi and its licensors.
11.5 Platform analytics and processing
Vloggi may process Content and associated metadata solely for the purposes of operating, securing and improving the Platform and providing services to Project Owners.
Vloggi will not use Content submitted to a Project to train publicly available artificial intelligence models or datasets without the permission of the relevant Project Owner.
11.6 Platform metadata and provenance records
Submission records, technical metadata, verification logs, system-generated annotations and other platform-derived information generated by Vloggi in connection with the submission, processing or storage of Content remain the property of Vloggi.
Such information may be used by Vloggi for platform security, system integrity, analytics, fraud detection, evidentiary verification and the improvement of platform services, provided that such use does not grant Vloggi ownership of the underlying Content
